Go Bold Studio – Master Rental Agreement

Instructions

  • Section A applies to all rentals (studio and/or equipment).

  • Section B applies to studio rentals.

  • Section C applies to equipment rentals.

Section A: General Terms (Applies to All Rentals)

1. Parties

This Master Rental Agreement (“Agreement”) is made by and between CMO Visual LLC DBA Go Bold Studio (“Lessor”) and ______________________ (“Tenant” or “Renter”), with offices located at 300 Ryder Lane, Suite 1000, Casselberry, FL 32707.

2. Term & Scope

  • These General Terms govern any rental from Go Bold Studio, including both the use of our studio space (“Studio”) and the rental of equipment (“Equipment”), as described in the subsequent sections.

  • Specific details (e.g., dates, times, equipment lists, or other special conditions) may appear on a Booking Form, Rental Order, Invoice, or separate Quote. Once signed or paid, that document is deemed part of this Agreement.

3. Payments & Fees

  • Payment Schedule: 100% of the total fees is typically due upon booking, unless otherwise agreed in writing.

  • Accepted Forms: Cash, credit card, or other methods approved by Lessor. A 3% processing fee may apply to credit card transactions.

  • Late Payments: Any overdue amounts incur interest at the highest rate allowed by law, calculated from the due date.

  • Deposits / Security Holds: Lessor may require a security deposit or credit card authorization to cover potential damages or unpaid balances. Any deposit, if required, will be stated on the Booking Form or Invoice.

  • Taxes: Unless Tenant provides a valid tax-exempt certificate in advance, Tenant is responsible for all applicable sales, use, or similar taxes associated with this rental. Any such taxes will be added to the final invoice.

4. Indemnification

Tenant shall defend, indemnify, and hold harmless CMO Visual LLC DBA Go Bold Studio, its affiliates, officers, directors, employees, and agents from and against any claims, demands, lawsuits, damages, losses, liabilities, or expenses (including attorneys’ fees) arising from or related to:

  1. Tenant’s or its guests’ use, misuse, or possession of the Studio or Equipment.

  2. Any breach of this Agreement by Tenant or its agents.

  3. Any negligence or willful misconduct of Tenant, its agents, or guests.

5. Insurance Requirements

  • General Liability: Tenant must carry a Commercial General Liability policy with a minimum limit of $1,000,000 per occurrence, naming CMO Visual LLC DBA Go Bold Studio as Additional Insured.

  • Equipment Coverage (if Equipment is rented): Must cover the full replacement cost of all rented gear. CMO Visual LLC DBA Go Bold Studio must be listed as both Loss Payee and Additional Insured.

  • Proof of Insurance: A valid Certificate of Insurance (COI) must be provided before taking possession of the Studio or Equipment.

  • No Unattended Vehicle Exclusion: For Equipment rentals, policies excluding theft from an unattended vehicle will not be accepted.

6. Limitation of Liability

  • In no event shall CMO Visual LLC DBA Go Bold Studio be liable for indirect, special, incidental, or consequential damages arising out of or related to this Agreement, whether in contract, tort, or otherwise.

  • All Studio and Equipment is provided “as is,” without any warranty of merchantability or fitness for a particular purpose.

7. Force Majeure

Go Bold Studio is not liable for any failure to perform (in whole or in part) due to circumstances beyond its reasonable control, including but not limited to severe weather, floods, earthquakes, strikes, pandemics, power outages, or other utility disruptions. If forced to cancel, Lessor will refund any prepaid fees, and such refund is Tenant’s sole remedy.

8. Governing Law & Venue

This Agreement shall be governed by the laws of the State of Florida. Any legal action must be brought in the state courts located in Seminole County, Florida.

9. Severability

If any provision of this Agreement is deemed unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

10. Entire Agreement

These terms, together with any Booking Form, Exhibit, or other attachments, constitute the entire agreement. Any modifications must be in writing and signed by both parties.


Section B: Studio Rental Terms

1. Studio Description

  • The property is located at 300 Ryder Lane, Suite 1000, Casselberry, FL 32707 (the “Studio”).

  • Tenant’s rental includes the rooms listed on the Studio Rental Invoice.

  • No studio rental includes access to the second-floor loft area.

2. Rental Period

  • The studio rental begins at 12:00 AM on the first rental day and ends at 11:59 PM on the last rental day.

  • Overtime fees of $200/hour may apply if Tenant or any of Tenant’s guests remain in the Studio beyond the agreed end time.

3. Studio Setup, Cleanup & Return

  • Setup/Teardown must occur within the rental period. The Studio should be returned to the same condition it was provided.

  • Any decorations or equipment brought in by Tenant must be removed before the end of the rental.

  • Tenant shall not damage walls, floors, or fixtures—normal wear and tear excepted.

4. Studio Rules

(See also Exhibit A of your current agreement, if applicable.)

  1. No walking on the curve of the cyc wall.

  2. No smoking, vaping, or open flames in the Studio.

  3. No illegal substances or stunts.

  4. Noise must comply with local ordinances.

  5. Any additional or updated rules posted at the Studio apply.

5. Damage to Studio

  • Tenant is responsible for any damage caused by its attendees, employees, or contractors.

  • Lessor will inspect the premises after the rental. Any damages or excessive cleanup fees will be charged to the credit card on file.

  • Lessor will provide notice and an itemized statement of damages if found.

6. Cancellation by Tenant

  • If Tenant cancels more than 14 days before the rental date, a full refund is provided.

  • If Tenant cancels within 48 hours of the rental date, Lessor may retain all fees unless the Studio can be re-booked.

  • Any cyc re-painting fee is non-refundable.

7. Lost or Left Items

  • Lessor is not responsible for personal belongings left at the Studio.

  • Tenant shall remove all personal property upon leaving.

8. Genie Lift / Rigging

  • Approved Personnel: If you would like to utilize our Genie Lift to rig from the grid, you must hire one of our approved Gaffers or Key Grips.

  • Advance Planning: Please reach out in advance to discuss any rigging plans.

  • Crew Rates: Our Gaffer/Key Grip day rate is $850/10 (meaning $850 for up to 10 hours), subject to overtime.

  • No Additional Charge for Lift: Once you hire one of our approved crew members, there is no extra fee for using the Genie Lift.

Section C: Equipment Rental Terms

1. Equipment Listing & Condition

  • A specific list of equipment (“Equipment”) being rented, including replacement values, will be included on the Equipment Rental Invoice (or Studio Rental Invoice).

  • Tenant acknowledges that the Equipment is in good working order at the time of pickup or delivery, unless Tenant notifies Lessor otherwise.

2. Pickup & Return of Equipment

  • Pickup/Delivery: Unless otherwise arranged, Tenant picks up Equipment at Go Bold Studio’s location. If Tenant has also rented the Studio, the Equipment may already be set up on the premises.

  • Returning Equipment: Tenant must return (or relinquish control of) the Equipment by the date/time stated in the Equipment Rental Order. Late returns may incur an additional day’s rental fee.

  • If Equipment Stays in the Studio: Even if the Equipment never leaves Go Bold Studio’s premises, Tenant assumes full responsibility for it (including risk of damage, theft, or misuse) from the moment it is placed in Tenant’s care until it is returned to Lessor’s direct control.

3. Risk of Loss, Damage & Replacement

  • Care, Custody & Control: Tenant assumes all risk of loss, theft, or damage from the time Equipment is in Tenant’s care—whether that’s on Go Bold Studio’s premises or off-site—until it is returned.

  • Reporting: Any damage, malfunction, or theft must be reported to Go Bold Studio immediately.

  • Liability for Loss/Damage: Tenant shall be liable for the full replacement cost of any lost or destroyed Equipment and the cost of repairs for any damaged Equipment.

  • Continuing Rental Fees: Rental fees continue to accrue until damaged Equipment is repaired or replaced and back in Lessor’s inventory.

4. Insurance Coverage

  • Rented Equipment Policy: Tenant’s insurance policy must list CMO Visual LLC DBA Go Bold Studio as Loss Payee for the replacement cost of all rented items—whether the Equipment stays in the Studio or travels off-site.

  • No Unattended Vehicle Exclusion: If Tenant transports Equipment by vehicle, the policy must remain valid even if the vehicle is unattended.

  • Certificate of Insurance: Tenant must provide a valid COI before picking up Equipment or commencing use of the Equipment at the Studio.

5. Use & Restrictions

  • Tenant may only allow qualified personnel to operate the Equipment in accordance with manufacturer guidelines.

  • No subrental of Equipment to any third party without Lessor’s written consent.

  • Tenant shall not remove or obscure any Go Bold Studio tags, labels, or nameplates on the Equipment.

6. Indemnification for Equipment Rental

  • In addition to the general indemnification in Section A, Tenant specifically agrees to indemnify CMO Visual LLC DBA Go Bold Studio for any claims arising from the use, operation, or malfunction of the rented Equipment.

7. Inspection & Repossession

  • Go Bold Studio retains the right to inspect Equipment at any time.

  • If Tenant is in default or uses Equipment improperly, Lessor may terminate the rental and repossess the Equipment at Tenant’s expense.

Exhibit A – Studio Rules

  1. Cyc Wall

    • Do not walk on the curved portion of the cyc wall. Doing so may cause damage requiring professional repair (drywaller/painter).

    • Any resulting damage will be billed to the Tenant.

  2. Respect the Space

    • Be mindful of walls, floors, furniture, and equipment.
      Setup and teardown must occur within your booked rental period.

  3. Fire Hazards

    • No candles or open flames at any time.
      No smoking or vaping in the studio.

  4. Prohibited Substances

    • No consumption of alcohol or use of illegal substances on the premises.

  5. Cleanliness & Special Materials

    • Activities involving confetti, feathers, body paint, liquids, food products, hair cutting, etc. require prior approval from management. An extra cleaning fee may apply.

    • Projects involving smoke must also have prior written consent from management.

  6. No Adult Content or Stunts

    • Pornographic or adult shoots are not allowed.
      Stunts of any kind are prohibited without prior written approval.

  7. Security & Sound

    • Tenant must lock the studio upon departure.
      Tenant must abide by Seminole County sound ordinances.

  8. Damages & Maintenance

    • Report any damage or maintenance issues immediately to management.
      Tenant is responsible for damage caused by themselves, their clients, or their guests.
